Position Overview

The ITO Contracts Administrator will be responsible for integrating contracts acquired by PerkinElmer as part of its Business Development efforts into PerkinElmer’s existing systems and repositories.  The ITO Contracts Administrator will be based in India and provide support to PerkinElmer’s global acquisitions and integrations.

Job Description

Role and Responsibilities

  • Support ITO and Legal with the integration of newly acquired entities’ contracts, including:
    • Uploading acquired contracts into PerkinElmer’s contract repository, reviewing such contracts as required to input information into required meta data fields;
    • Summarize and prepare any contractual notices or consents triggered by the transaction, including change of control and assignment requirements; and
    • Assist ITO, Legal and applicable PerkinElmer business teams integrating newly acquired supply and sales channel agreements into PerkinElmer’s existing channels, advising the business on any termination requirements or contractual modifications, as needed.
  • Upload legacy agreements from prior acquisitions into PerkinElmer’s contract repository, reviewing such contracts as required to determine effectiveness and to input applicable into required meta data fields.
  • As time allows, support Business Development and Legal with their due diligence efforts for target acquisitions by reviewing and summarizing the target entity’s material agreements, identifying contractual risks and requirements for the transaction team.
  • Communicate and coordinate with, as well as provide guidance to, ITO and Business Development.
  • Communicate and coordinate with Legal, Finance and other functions as needed to support the contract integration process.
  • Work collaboratively and supportively with other members of the ITO, Business Development and Legal teams. 

Knowledge, Skills, Abilities, and Other Characteristics

  • Solid understanding of basic contract law principles and provisions, such as change of control, assignment, notice, indemnification, limitations of liability, warranty and intellectual property.
  • M&A experience a plus.
  • Customer-focused and solutions-oriented approach to delivering contract management services to internal customers.
  • Strong oral and written communication skills, with an ability to craft and deliver clear and concise communications.
  • Ability to analyze and develop strategies and tactics to achieve positive results.
  • Ability to make cost effective time management decisions to enable prioritization of highest value work.
  • Ability to work independently; a self-starter with good problem-solving skills and a client service focus.
  • MS Word and XLS skills. 
  • Fluent in English.

Education and Work Experience

  • BA/BS degree or equivalent from a recognized university.
  • 2-4 years of contract drafting/negotiation/administration experience required.
  • Prior experience collaborating with U.S. or similar global team advantageous.
